ABATE of Tulsa, Inc. By - Laws
(Incorporated 1990) 

Amended by vote on 26 April, 2007

 

Article I

NAME AND PURPOSE

 

A.   This not-for-profit corporation shall be named "ABATE of Tulsa, Inc.". ABATE being an acronym for “American Bikers Aimed Toward Education". The membership of this organization hereby declares its dedication to the following goal and purposes:

 

    1.     Brotherhood, friendship and mutual support among, by and between our members.

2.     Vigorous support for the rights of motorcyclists.

3.     Charity and goodwill to our fellow citizens.

4.     Public education and awareness of motorcycle issues.

5.     We will not discriminate against any race, religion, creed, nationality, or other basis.

 

 

Article II

AGENT AND OFFICE

 

The registered agent of the corporation shall be Mr. Bill Harbison, Attorney at Law, 1408 South Denver Avenue, Tulsa, OK, 74119-3423.  Telephone (918)585-2123.

 

 

Article III

MEMBERSHIP

A.  Eligibility

 

1.     Any person 14 years of age or older, who declares his or her support for the goals and purposes of the organization may become a member.

 

2.  Any person who signs up as a member with ABATE of Oklahoma and chooses Tulsa as their own chapter.

 

B.  Membership Categories

                            

1.     Lifetime Tulsa Member – Anyone who received a life membership from the original ABATE of Oklahoma, now known as ABATE of Tulsa, Inc.

 

2.     Full Member – Anyone who has joined ABATE of Oklahoma (the state organization for Oklahoma) and has designated Tulsa as their chapter will become members of ABATE of Tulsa, Inc. for the duration of their ABATE of Oklahoma membership.   

 

3.     Associate Member – Any person who signs up with a Full Member as an Associate Member of ABATE of Oklahoma will be accorded the same rights and privileges as a Full Member for the duration of their ABATE of Oklahoma membership.  Associate members do not receive the newsletter.

 

4.     Minor Members – Members aged 14 – 17. Minor members do not have voting privileges.

 

C.  Membership Cards are issued by the state organization, ABATE of Oklahoma.

 

D.  Membership revocation for good cause shown

     

     1.  Notice must be given to member at least thirty (30) days in advance of the termination vote.

 

2.     Majority vote of those members in attendance shall be conclusive.

 

E.  A revoked member can make an application for reinstatement, which will be presented at the next regularly scheduled meeting and shall be decided by a majority vote of the members present.

 

F.  Information from the membership list shall not be released with the exception of official ABATE of Tulsa, Inc. business.

 

 

Article IV

MEETINGS

 

A.  Meeting Days

 

1.     General Meetings will be held on the last Thursday of each month.  Except November when the meeting will be held the week before Thanksgiving, and December when no general membership meeting shall be held.

 

2.     The time and place of the general membership meeting must be available one day in advance to any person visiting the ABATE of Tulsa, Inc. web site.

 

 

Article V

EXECUTIVE BOARD

 

A.  Executive Board Composition - The Executive Board of ABATE of Tulsa, Inc. shall be comprised of the following officers:  President, Vice-President, Secretary, Treasurer, Sergeant-at-Arms, and Immediate Past-President, who shall have been elected by the

membership. 

 

B.  Nominations of Officers will be made at the September and October meetings, followed by the final election at the November meeting.  A run-off election shall be held at the May meeting in the event of a tie vote.

 

 

C.  Term of Office - The officers shall serve a two-year term. The term begins at the beginning of the January meeting following the election.  A post-election officers meeting shall be called with the new officers and the immediate past officers within 5 days of the election to discuss and plan ABATE of Tulsa, Inc. business.

 

D.  Executive Board/Office Duties and Responsibilities

 

1.     President - to chair meetings, formulate and propose projects, events and objectives for the upcoming year; to coordinate all public relations; and to lead the organization throughout the term.

 

2.     Vice-President - to assume the post of President upon the office being vacated or at the President's request; to serve as coordinator between committees and the President; to oversee major annual major events; monitor the assets of the corporation; and oversee the Events Coordinator.

 

3.     Secretary - to maintain the corporate records; record minutes and submit them to the newsletter; coordinate all flyers and mailings; update and maintain the ABATE of Tulsa, Inc. Handbook; and to oversee the membership committee.

 

4.     Treasurer - to act as custodian of the money of the organization; to receive and distribute monies and maintain records with respect thereto; to insure preparation of all tax returns and other financial documents; to report in writing the financial status to the membership at the monthly meetings. The Treasurer must be bonded for $25,000.00.  The Treasurer must be bonded within thirty (30) days of taking office.  The Treasurer shall be bonded for their term of office.

 

5.     Sergeant-at-Arms - to bring the meetings to order; to keep the meetings in order; to insure the presence of an American flag and initiate the Pledge of Allegiance at all general meetings; to coordinate security efforts at all events including staffing entrances and exits at all events; to oversee the Clean-up Committee.

 

6.     Immediate Past- President – Shall serve in an advisory capacity only and has no Board Meeting voting privileges.

 

E.  Impeachment

 

     1.  An officer shall be removed from office prior to the expiration of his or her term for the following causes and in the following manner:

 

a.     Gross neglect of the duties of the Office.

b.     Breach of trust.

c.     Breach of fiduciary obligation or responsibility.

d.     Abuse of power.

e.     Monumental stupidity damaging or discrediting ABATE of Tulsa, Inc.

 

2.  Manner of impeachment – Charges alleging causes for impeachment must be brought forth in writing by:

     a.  Any three (3) of the officers currently serving in office, or

b.  Any twenty-five (25) current, voting eligible members.

 

3.     The aforesaid written allegations shall be presented by the parties making the charges to any member of the Board whose impeachment is not sought.  The written allegations shall then be presented to the officer whose impeachment is sought, not less than 10 days prior to the next regularly scheduled meeting of the membership. 

 

4.     At the next regularly scheduled meeting of the membership the aforesaid written allegations shall be read, verbatim, to the membership in attendance.

 

5.     Upon conclusion of the response of the officer whose impeachment is sought, the matter shall be put to a vote of the membership in attendance.

 

6.     A majority vote of those members in attendance shall be conclusive.

 

7.     The officer whose impeachment is sought shall continue to exercise the power and duties of his or her office until impeached by a vote of the membership set forth above.

 

F.  Vacancy of Office – Any office left vacant for any reason (death, illness or other cause) shall require nominations for the vacated office at the next two (2) meetings immediately following the vacancy.  Elections for the vacated office shall occur at the conclusion of the nominations at the second meeting. 

 

G.  Adjunct Positions

 

      1.  Legal Advisors - The officers may seek the advice of legal counsel.  Legal advisors shall receive no compensation and shall have no power to vote at Board Meetings.

 

 2.  Chapter Representatives - The officers shall select two (2) Chapter Representatives from among the ABATE of Tulsa, Inc. membership to represent the Tulsa  Chapter at ABATE of Oklahoma, Inc. board meetings.  It is the responsibility of the State  Representatives of the Tulsa Chapter to be represented at all ABATE of Oklahoma, Inc. Board  Meetings. Chapter Representatives shall monitor legislation pertinent to motorcyclists, report on pending or threatening legislation to the

officers, the membership and the newsletter; plan and execute approved campaigns.

 

 

Article VI

COMMITTEES

 

Committees may be formed or disbanded as deemed necessary by the officers.

 

Safety Education - Shall promote and monitor rider safety courses.

 

Events Coordinator - Shall organize and execute all events, coordinate workers and conduct quarterly inventory of all assets. The chair of this committee shall report to the Vice-President. 

 

Membership – Maintain a current, updated listing of the membership. The chair of this committee shall report to the Secretary.

 

ABATE Products - Shall keep an inventory of all ABATE products and sell only ABATE products that have been authorized by the Executive Board; State and Chapter patches shall be sold to current members only; shall keep an accurate account of transactions and remit all monies to the organization. The chair of this committee shall report to the Treasurer.

 

Concession - Shall provide refreshment at all major functions and remit all monies to the organization. The chair of this committee shall report to the Treasurer.

 

Cleanup - Shall be responsible for cleanup at all major functions. The chair of this committee shall report to the Sergeant-at-Arms.

 

 

Article VII

VOTING

 

A.  Quorums - No vote may be taken unless the following number of persons eligible to vote are present in the following instances:

 

1.     Executive Board:  four (4) members currently serving in office. 

2.     General Membership:  No minimum number required.  However, notice of a vote to amend the Bylaws must be placed on the web site sixty (60) days in advance of the vote.

3.     Impeachments and/or by-law amendments:  No minimum number required, However, notice of a vote to amend the Bylaws must be placed on the web site sixty (60) days in advance of the vote.

4.     Dissolution:  No minimum number required, however, notice of a vote to dissolve the organization must be placed in the newsletter for two (2) publications immediately preceding the vote. 

5.     A majority vote of the quorum shall be conclusive.

 

B.  Proxies/Absentee Ballots - No vote by proxies or absentee ballots shall be permitted.

 

 

C.  Mandatory Membership Votes - Approval by vote of the membership shall be required for the following:

 

1.     Election of Executive Board

2.     Any amendments to the by-laws

3.     Impeachment of an officer

4.     Revocation of membership's

5.     Adoption or change of any well-established policy or position

6.     Co-sponsorship of events with any organization.

7.     Event beneficiaries.

8.     Charitable contributions excluding Relief Fund disbursements

9.     Member travel and development

10. Honorary Members

11. Dissolution

 

Article VIII

FINANCES

 

A.  Expenditures - This corporation shall be operated as a not for profit endeavor. All monies generated by ABATE of Tulsa, Inc., from whatever source, may be expended only for one or more of the following purposes:

 

1.     Advocacy of bikers' rights

2.     Usual and customary overhead

3.     Charitable contribution approved by the membership

4.     Purchase of supplies

5.     Other purposes as the board determines to be consistent with the objectives of the organization

B.  Depositors - All monies shall be maintained in a federally insured banking institution in the city of Tulsa.

 

C.  Disbursements - The Treasurer must sign all checks needed from any bank accounts of ABATE of Tulsa, Inc.  The banking institution shall be notified of each change of officers and new signature cards issued promptly.  In event of the Treasurer’s incapacitation, any two (2) officers of ABATE of Tulsa, Inc. may sign checks. The use of Debit Cards shall not be permitted on any financial account held by ABATE of Tulsa, Inc. nor shall there be any EFT's (Electronic Fund Transfer) on financial accounts held by ABATE of Tulsa, Inc.

 

 

D.  Inspection - Any member shall have the right to inspect the books of the organization upon request.

 

E.  Relief Fund – This is a separate account to be used only for emergency financial assistance up to $200.00 per emergency to members and/or their families.  Revenues shall be derived from 50/50 funds and designated gifts from members. 

 

F.  All proceeds earned from 50/50 Drawings shall only be used for the Relief Fund.

 

Article IX

DISSOLUTION

 

Upon dissolution of the organization, all assets shall be disposed of in accordance with applicable Federal and State law.

 

 

Article X

RATIFICATION AND AMENDMENTS

 

These by-laws shall be deemed adopted, and may be amended, by a majority vote of membership present at the time of the vote.

 

We hereby certify that these by-laws were ratified and adopted, by a vote of the membership, on the 29th day of August, 2002.
